| <p>The Eclipse Foundation Board of Directors approved the update to the Foundation’s bylaws in Ludwigsburg, Germany, on October 21, 2019. Our bylaws have not been updated in many years so a governance renewal was needed to ensure our bylaws are aligned with our current objectives and activities. </p> |
| <p>As the Eclipse Foundation continues to move into a broader technology arena that includes specifications and working groups, we are becoming a “big tent” of open collaboration. To that end, we want to ensure our bylaws will serve us well as we move forward.</p> |

| <p>The final step for approval of the updated bylaws is consent from our members at large. Your vote matters a great deal because we must ensure we have an appropriate return of votes before we can implement the changes.</p> |

If you have not already done so, simply click yes or no on the ballot to approve or reject all of the changes. | <p dir="ltr"> This major revision allows us to significantly update our intellectual property (IP) review process (due diligence) to focus on a License Compliance Model for third-party content to bring our processes in line with contemporary expectations. This shift will allow us to support agile development, enable continuous delivery, and scale modern day technology while remaining focused on risk mitigation.</p> |

| <p dir="ltr"> We plan to further reduce burdens and lower barriers by reducing administrative requirements. This includes removing the requirement for Eclipse projects to request IP reviews of third-party content before leveraging the content. This approach will allow for faster service, increase Eclipse project velocity, and provide more flexibility and predictability.</p> |
| |
| <p dir="ltr"><strong> Self-Service License Compliance Validation</strong></p> |
| |
| <p dir="ltr">Eclipse project teams will be able to validate their own license compliance during development against a board-approved license whitelist. Final IP clearance will still be required prior to formal release. </p> |
| |
| <p dir="ltr"> The onus on projects will be fairly lightweight as our tools will produce compliance reports. Project teams will only need to check in with the IP team if the compliance report indicates there are IP violations or restrictions. Project teams should take care to only introduce dependencies that are subject to compatible licenses at the onset of the project and during iterations.</p> |

| <p dir="ltr"> It’s important to remember our IP management bar remains very high and we will be checking with projects along the way to provide support and ensure project compliance.</p> |
| |
| <p dir="ltr"> The Eclipse Foundation also plans to leverage other sources of license data and to donate curated license data as part of working with other open source groups who are focused on like-minded standards and compliance programs.</p> |
